End User License Agreement

1. Agreement

This End User License Agreement (“EULA”) is a legal agreement between you and TWFMO (The Washington Family Management Office, “TWFMO,” “we,” “us,” or “our”) governing your access to and use of twfmo.com and TWFMO software, applications, portals, time-clock functions, and related services made available through the site (collectively, the “Services”).

By accessing or using the Services, you agree to this EULA. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to do so.

2. License and authorized use

Subject to this EULA, TWFMO grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for their intended personal, household, workforce, or authorized business purposes. No ownership interest is transferred to you.

Restricted features, including administrative and workforce tools, may be used only by people whom TWFMO or an authorized administrator has permitted to use them.

3. Accounts, credentials, and security

You must keep account credentials, PINs, enrollment codes, and session access confidential and use only credentials assigned to or created for you. You may not impersonate another person, share a credential to bypass access controls, or attempt to obtain access beyond your authorization.

Notify your TWFMO administrator promptly if you believe a credential or account has been compromised. TWFMO may suspend or restrict access when reasonably necessary to protect users, records, or the Services.

4. Time-clock and workforce features

Authorized workforce users may use the Services to record work intervals and related business assignments. You are responsible for entering information accurately and promptly reporting suspected errors. Authorized administrators may review, approve, reject, create, or correct time records in accordance with applicable policy and law, and administrative changes may be recorded in an audit history.

The Services are an operational recordkeeping tool. They do not replace legally required wage statements, payroll records, employment notices, or any rights or obligations established by applicable law or a governing employment agreement.

5. Prohibited conduct

You may not:

  • use the Services for unlawful, fraudulent, abusive, or unauthorized purposes;
  • probe, scan, test, defeat, or circumvent security or access controls;
  • introduce malware or interfere with the availability or integrity of the Services;
  • use automated means to scrape, copy, or extract data except as expressly authorized;
  • reverse engineer, decompile, disassemble, or attempt to derive source code except where applicable law expressly permits it;
  • remove or alter proprietary notices; or
  • use another person’s identity, account, PIN, or authorization without permission.

6. Ownership and intellectual property

The Services, including software, text, designs, graphics, logos, interfaces, and other content provided by TWFMO, are owned by TWFMO or its licensors and are protected by intellectual-property and other laws. Except for the limited license in this EULA, all rights are reserved.

Content owned by affiliated businesses or third parties remains the property of its respective owner. Links to third-party services do not grant you rights in those services.

7. Privacy

Our collection and use of personal information is described in the TWFMO Privacy Policy, which is incorporated into this EULA by reference for purposes of describing our data practices.

8. Third-party services

The Services may rely on or link to third-party infrastructure, websites, authentication providers, databases, or other services. TWFMO does not control third-party services and is not responsible for their separate terms, content, availability, or privacy practices. Your use of a third-party service may be subject to additional terms between you and that provider.

9. Changes, availability, and support

TWFMO may add, modify, suspend, or discontinue features at any time, subject to applicable law. We may deploy updates automatically. We do not guarantee that every feature will be continuously available or error-free. Planned or unplanned maintenance, provider outages, security events, and other conditions may affect availability.

10. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TWFMO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TWFMO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS.

Nothing in this EULA excludes a warranty or right that cannot lawfully be excluded.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TWFMO AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THIS EULA.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TWFMO’S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THIS EULA WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID DIRECTLY TO TWFMO FOR THE AFFECTED SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.

12. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless TWFMO and its owners, affiliates, officers, employees, and agents from third-party claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Services, material breach of this EULA, or infringement of another person’s rights. This section does not apply where prohibited by law or to the extent a claim results from TWFMO’s own conduct.

13. Suspension and termination

You may stop using the Services at any time. TWFMO may suspend or terminate your access if you violate this EULA, if your authorization ends, or if access presents a legal, security, or operational risk. Provisions that by their nature should survive termination, including ownership, warranty disclaimers, limitations of liability, and governing-law provisions, will survive.

14. Governing law

This EULA is governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, except where federal law or another law that cannot be waived applies. Any dispute may be brought in a court of competent jurisdiction as permitted by applicable law.

15. General terms

If any provision of this EULA is held unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. A failure to enforce a provision is not a waiver. You may not assign this EULA without TWFMO’s prior written consent; TWFMO may assign it in connection with a reorganization, transfer, or business transaction. This EULA and incorporated terms constitute the agreement concerning your licensed use of the Services unless another written agreement expressly supersedes it for a particular service.

16. Changes and contact

TWFMO may update this EULA from time to time. The revised version will be posted here with a new effective date. Continued use after an updated EULA becomes effective constitutes acceptance to the extent permitted by law.
